If you make any submission to an area of the Website accessed or accessible by the public (“Public Area”) or if you voluntarily submit an unsolicited idea or feedback to HS GovTech USA by email, you automatically represent and warrant that you have all rights and authority necessary to grant, and hereby grant, HS GovTech USA a royalty-free, fully paid-up, perpetual, irrevocable, worldwide, nonexclusive license under all intellectual property rights, including patent rights, to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform, display, develop, make, have made, sell, offer for sale, import, and otherwise exploit the communication, content, idea, or feedback, and any products or services incorporating it, in any media, medium, form, format, or forum now known or later developed. HS GovTech USA may sublicense its rights through multiple tiers of sublicenses. If you wish to keep any business information, ideas, concepts or inventions private or proprietary, you must not submit them to the Public Areas or to HS GovTech USA by email. We try to answer every email in a timely manner but are not always able to do so. Unless HS GovTech USA has signed a separate written confidentiality agreement, no submission creates any confidentiality, fiduciary, or other duty concerning the submitted information. Personal information included in a submission will be handled in accordance with the applicable Privacy Policy and law. To the extent permitted by applicable law, you waive and agree not to assert any moral rights in the licensed content and grant HS GovTech USA permission to use any name, image, voice, likeness, and other identifying material intentionally included in that content solely in connection with the exercise of the foregoing license.
Some of the forums (individual bulletin boards and posts on the social network, for instance) on the Website are not moderated or reviewed. (c) Remove communications that are abusive, illegal, or disruptive, or that otherwise fail to conform with these Terms of Use.
(d) Terminate a Member’s access to any or all Public Areas and/or the HS GovTech USA Site upon any breach of these Terms of Use.
(e) Monitor, edit, or disclose any communication in the Public Areas. Any monitoring, use, or disclosure will be conducted in accordance with applicable law and the Privacy Policy.
(f) Edit or delete any communication(s) posted on the HS GovTech USA Site, regardless of whether such communication(s) violate these standards.
HS GovTech USA reserves the right to take any action it deems necessary to protect the personal safety of our guests or the public. HS GovTech USA has no liability or responsibility to users of the HS GovTech USA Website or any other person or entity for performance or non-performance of the aforementioned activities.
17. Arbitration
Except that either party may seek temporary or preliminary equitable relief from a court of competent jurisdiction to preserve the status quo or prevent imminent and irreparable harm pending arbitration, and HS GovTech USA may seek temporary, preliminary, or permanent equitable relief in court to protect its intellectual property, confidential information, systems, accounts, and access controls, without waiving arbitration of any claim for damages or other underlying merits, any controversy or claim arising out of or relating to these Terms of Use or this Website shall be settled by binding arbitration administered by the American Arbitration Association under the American Arbitration Association rules in effect when arbitration is commenced. The Consumer Arbitration Rules will apply if the claimant used the Website primarily for personal, family, or household purposes; otherwise, the Commercial Arbitration Rules will apply. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be held in Virginia, except that a consumer may participate remotely or use another location where required by the applicable AAA rules or mandatory law. The Federal Arbitration Act governs the interpretation and enforcement of this Section. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HS GovTech USA'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE, CONTENT, OR THESE TERMS OF USE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS OR THE AMOUNT YOU PAID HS GovTech USA FOR USE OF THE WEBSITE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
19. Indemnity
You agree to defend, indemnify, and hold HS GovTech USA, its officers, directors, employees, agents, licensors, and suppliers, harmless from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, arising out of or relating to (a) your violation of these Terms of Use, (b) content or communications you submit, post, or transmit, (c) your misuse of the Website, (d) your violation of applicable law, or (e) your infringement or misappropriation of any third-party right. HS GovTech USA may assume control of the defense with counsel of its choice, at your expense, and you shall reasonably cooperate with the defense. You shall not settle any claim in a manner that admits fault by, imposes liability on, or requires action by HS GovTech USA without HS GovTech USA's prior written consent. Your obligations under this Section survive termination of these Terms of Use and include HS GovTech USA's reasonable costs of enforcing those obligations, to the extent permitted by applicable law. HS GovTech USA will provide reasonable notice of a covered claim, provided that any delay or failure to provide notice will reduce your obligations only to the extent you are materially prejudiced by that delay or failure. Upon request, you shall advance or promptly reimburse HS GovTech USA for reasonable defense costs and expenses as they are incurred, subject to repayment to the extent a final determination establishes that the claim was not covered by this Section.
